Gaukhar specializes in spheres of commercial and corporate law. Gaukhar’s experience includes contract support for in-house legal teams and providing legal assistance in concluding complex transactions, Due Diligence of the companies involved in oil and gas and mining sector, consulting international firms on business matters in Kazakhstan.Gaukhar has substantial experience in advising both suppliers and customers on a broad range of commercial contracts, including outsourcing contracts, FIDIC contracts, drilling, work-over contracts, Joint Operating Agreements (JOA), etc.
Gaukhar participated in consulting the oil and gas and mining projects acquisitions, including assistance in applying for all required regulatory and permissive documents, such as state’s priority rights waiver, antimonopoly consent.
Gaukhar actively takes part in internal/external trainings as well as serves as external counsel for a number of local companies. Gaukhar has published number of commercial and corporate matters related articles and client updates.
In 2011 Gaukhar advised number of M&A projects including full legal support to Norwegian E&P company on acquisition of oil & gas project in western Kazakhstan, including drafting the required transaction documents and obtaining the governmental waivers and consents.
Last two years Gaukhar advised several M&A projects, leading the due diligence team including one of the biggest M&A where Gaukhar was part of the team for preparation and implementation of an IPO: from structuring the M&A transaction to 100% share sale of public E&P company (appr.USD 515 mln).
Gaukhar is fluent in English, Kazakh and Russian.
